Participant Agreement, Assumption of Risk, and Release of Liability

In consideration for being permitted to participate in the Tour de Goizueta (“Tour”), I voluntarily enter into this Participant Agreement, Assumption of Risk, Release of Liability, and Covenant Not to Sue (“Agreement”).

1. Tour activities

I understand that the Tour is a multi-stage movement, fitness, leadership, and community challenge. Tour activities may include, without limitation:

• Walking, running, cycling, climbing, stair activities, strength exercises, mobility exercises, movement-health activities, fitness challenges, team activities, field-day activities, workshops, networking events, and social events;
• Activities completed individually, with teammates, or with other participants;
• Activities conducted at Emory University, at third-party facilities, outdoors, at home, at work, or at other locations selected by participants;
• Self-directed activities that may not be supervised by Tour organizers; and
• Travel to and from Tour activities.

I understand that participation is voluntary. I am not required to perform any activity that I believe is unsafe or inappropriate for my health, experience, environment, equipment, or circumstances.

2. Acknowledgment of risks

I understand that physical activity and participation in the Tour involve inherent and other risks that may result in property damage, illness, bodily injury, permanent disability, or death.

These risks include, without limitation:

• Falls; collisions with vehicles, bicycles, pedestrians, animals, participants, or fixed objects;
• Motor-vehicle traffic, road conditions, uneven surfaces, trails, stairs, poor lighting, construction, debris, and unfamiliar routes;
• Heat, cold, rain, lightning, wind, air-quality conditions, dehydration, overexertion, fatigue, and inadequate nutrition;
• Muscle strains, sprains, fractures, head injuries, joint injuries, illness, allergic reactions, cardiac events, respiratory problems, and aggravation of existing medical conditions;
• Equipment failure, improper equipment use, inadequate protective equipment, or defective or poorly maintained equipment;
• Actions or omissions of other participants, motorists, property owners, volunteers, vendors, sponsors, or members of the public;
• Risks associated with group activities, competitive behavior, travel, public spaces, facilities, and communicable illnesses; and
• Risks that are known or unknown, foreseeable or unforeseeable.

I understand that most Tour activities do not take place on closed roads or controlled courses. Unless expressly stated otherwise for a specific event, the Tour does not provide traffic control, route inspection, continuous supervision, medical monitoring, or verification that a participant-selected location is safe.

3. Voluntary assumption of risk

I knowingly and voluntarily accept and assume all risks associated with my participation in the Tour, including risks arising from the ordinary negligence of the Released Parties defined below.

I accept responsibility for evaluating the conditions, route, activity, equipment, weather, traffic, and my physical condition before and during each activity.

4. Release and covenant not to sue

To the fullest extent permitted by law, I, on behalf of myself and my heirs, estate, personal representatives, executors, administrators, successors, and assigns, hereby release, waive, discharge, and covenant not to sue:

Emory University; Emory University's Goizueta Business School; Venture Physiology LLC; the Tour de Goizueta; and each of their respective trustees, officers, employees, faculty members, agents, representatives, volunteers, contractors, sponsors, partners, vendors, property owners, event hosts, and other Tour participants

collectively, the “Released Parties,”

from any and all claims, demands, liabilities, damages, losses, costs, expenses, or causes of action arising out of or related to my participation in the Tour, including claims involving bodily injury, illness, death, emotional injury, property damage, or economic loss, including claims caused in whole or in part by the ordinary negligence of a Released Party.

This release does not apply to gross negligence, reckless or willful misconduct, intentional wrongdoing, or any liability that cannot legally be waived.

5. Participant responsibilities

I agree that I will:

• Select activities appropriate for my health, experience, abilities, and current conditions.
• Follow applicable laws, traffic regulations, facility rules, Tour rules, and instructions from authorized event personnel.
• Use appropriate clothing, footwear, lighting, reflective equipment, hydration, and safety equipment.
• Wear a properly fitted helmet whenever cycling outdoors.
• Inspect my equipment and ensure that it is suitable and in safe operating condition.
• Avoid interacting with a phone, fitness device, application, or other technology in a manner that distracts me while moving, cycling, driving, or crossing a roadway.
• Refrain from participating while impaired by alcohol, illegal drugs, unsafe medication effects, extreme fatigue, illness, or any condition that could make participation unsafe.
• Stop participating and seek appropriate assistance if I experience pain, dizziness, faintness, chest discomfort, unusual shortness of breath, loss of coordination, or another concerning symptom.
• Avoid pressuring another participant to perform an activity that the person considers unsafe.

I understand that team captains, teammates, volunteers, and Tour representatives are not responsible for determining whether I am medically or physically capable of participating.

6. Health and medical acknowledgment

I represent that, to the best of my knowledge, I am capable of participating safely in the activities I choose. I understand that the Tour does not provide medical screening, diagnosis, individualized medical advice, or a guarantee that any activity is appropriate for me.

I am responsible for consulting a qualified healthcare professional before participating when I have a medical condition, injury, disability, pregnancy, recent surgery, significant symptoms, or another reason to question whether participation is appropriate.

I understand that I am responsible for maintaining my own health and accident insurance. I accept responsibility for all medical, transportation, emergency-response, and related expenses incurred because of my participation.

7. Emergency medical authorization

If I become ill or injured and am unable to provide informed consent, I authorize Tour representatives to contact emergency services and obtain reasonably necessary emergency assistance for me.

I understand that the Released Parties are not required to provide medical care or transportation and do not guarantee that medical personnel will be present. I accept financial responsibility for any care or transportation provided.

8. Third-party devices and platforms

I understand that the Tour may permit or encourage the use of third-party devices and services, including fitness trackers, mobile applications, GPS devices, activity platforms, and wearable technology.

I understand that these services may experience errors, inaccurate measurements, data loss, outages, security issues, or connection failures. The Released Parties do not guarantee the accuracy, availability, compatibility, or performance of any third-party device or service.

I agree that scoring decisions, activity verification, bonus awards, and leaderboard calculations may be adjusted by Tour organizers when data are incomplete, inaccurate, duplicated, manipulated, or inconsistent with Tour rules.

9. Conduct and removal

I agree to comply with Tour rules and to participate in a safe, lawful, respectful, and honest manner. I understand that the Tour may restrict, suspend, or terminate my participation for unsafe conduct, harassment, dishonesty, rule violations, misuse of activity data, or conduct that threatens another person or the integrity of the Tour.

10. Responsibility for my conduct

I accept responsibility for injuries, losses, or third-party claims caused by my own unlawful, reckless, intentionally harmful, or materially rule-violating conduct. To the extent permitted by law, I agree to indemnify and hold the Released Parties harmless from third-party claims resulting directly from such conduct.

11. Governing law and severability

This Agreement shall be governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where another jurisdiction's law must apply.

If any provision of this Agreement is found unenforceable, that provision shall be modified only to the minimum extent necessary or severed, and the remaining provisions shall remain in effect.

12. Electronic agreement and acknowledgment

I certify that I am at least 18 years old. A participant under 18 may participate only with a separate parent or legal guardian agreement approved by the Tour and Emory University.

By signing electronically or physically, I acknowledge that:

• I have carefully read and understand this entire Agreement;
• I understand that I am giving up substantial legal rights, including the right to bring certain negligence claims;
• I have had the opportunity to ask questions before agreeing;
• I am signing voluntarily and without coercion; and
• I intend this Agreement to be binding upon me and my heirs, estate, and legal representatives.
